When we refer to you in these Terms, we actually refer to anybody, whether individual or legal person, who creates a user account and manages its mining operation with Braiins Manager. It probably goes without saying, but your legal capacity must not be limited to the extent that could in any way prevent you from using Braiins Manager or from effectively agreeing to and complying with these Terms.
If you plan to use Braiins Manager on behalf of any other person, whether individual or legal person, you must have legal authority to do so.

If you have used Braiins Manager before and now plan on coming back, that is great news and we welcome you with open arms, unless your previous access to Braiins Manager has been terminated by us for a breach of rules.
If your previous access has been in fact terminated for a breach of rules, we reserve the right not to open any new user accounts for you and to terminate any existing user accounts that you may have been able to create in the meantime.

What is Braiins Manager?
Braiins Manager is our latest solution specifically designed for data mining centers, aimed at simplifying and enhancing the management of mining operations. This comprehensive and user-friendly platform caters to the needs of both large-scale and small mining operations, providing an adaptable experience for all users. Our goal is to empower you with a robust tool to effectively streamline and scale your mining operations.
When we refer to Braiins Manager in these Terms, it includes both, an online platform and a software utility called Braiins Manager Agent (a software that runs locally inside your network and serves as a link between the devices and our backend).
How can you access Braiins Manager?
Braiins Manager can be easily accessed through our official website (https://braiins.com/). To get started, simply visit our site (subsection Braiins Manager), create an account, and log in to your dashboard. Once logged in, you will have access to the platform's features and functionalities (to the extent depending on your subscription). If you encounter any issues or need assistance, our support team is available to help.
What features does Braiins Manager offer?
For a detailed overview of the features available in Braiins Manager, we invite you to visit our website. We are committed to continually enhancing the Braiins Manager experience for our users, which includes improving existing features and introducing new ones.
Please be aware that as part of our ongoing efforts to innovate and improve our services, we may occasionally remove existing features to make room for new developments. Changes to features, including the addition, modification, or removal of functionalities, are strictly at our sole discretion. We reserve the right to change any aspect of Braiins Manager at any time, and no specific features are guaranteed.

What are those principles?
First, we want to clarify that we are not responsible or liable for any incorrect, incomplete, or incompatible data provided by you or third parties. Likewise, we are not liable for any inability on your part or that of third parties to correctly read, interpret, or process the data or instructions provided through Braiins Manager. Additionally, we do not assume any responsibility for the performance, security, or functionality of your products, platforms, or cryptocurrency mining devices, or those of third parties that are integrated with our solution.
I see. What if there are changes made by me or someone else?
If you or any third party make changes to their services, platforms, software, firmware, or cryptocurrency mining devices that affect the integration with Braiins Manager, we are not liable for any resulting interruptions, failures, or loss of functionality. Continued compatibility with your solutions or those of third parties is not guaranteed.
What should I do to ensure everything works properly?
You must adhere to all compatibility information provided by our company regarding Braiins Manager and its integration with third-party platforms, software, firmware, and cryptocurrency mining devices. This information is essential for ensuring optimal performance and functionality. Failure to follow the compatibility guidelines may result in integration issues, and we will not be liable for any consequences arising from non-compliance.
And what about my interactions with third parties?
Your interactions with third parties, whether initiated through Braiins Manager or otherwise, are governed by the terms and conditions set forth by those third parties. You are responsible for reviewing, accepting, and complying with these terms and conditions. We are not liable for any breaches of those terms and conditions.
It is also your responsibility to ensure that your use of Braiins Manager, including any third-party integrations, complies with the applicable terms, conditions, and requirements of those third-party services. We are not liable for any violations or non-compliance with such third-party agreements.
Do you transfer any of my data to third parties integrated with Braiins Manager?
You agree that we may provide any data we collect or have access to from you to third parties as requested by them, in order to facilitate the functions of Braiins Manager integrations. We may rely on such requests as evidence of your consent. If you terminate or change your relationship with any third-party partners or vendors and wish to revoke their access to your information, you must notify us of this change. We are not responsible for monitoring your relationships with third parties or for how they use your information.
So, how do I get started?
That’s a great question! First, you need to create a user account. Simply request access at https://manager.braiins.com/sign-up. During the registration process, we will ask for your email address and some other identifying information, after which your account will be created.
We strongly recommend changing your password regularly to keep your account secure and advise against reusing your account password for third-party applications.
Is there anything else I should know about my user account?
Your user account is personal to you, and you are solely responsible for all activities that occur through it. Therefore, it’s important to keep your password and the devices you use to access your account secure.
You must notify us immediately if you suspect any unauthorized access to your account. We do not support the misuse of third-party information, so when providing us with any data, you agree that it must always be true and complete.
Additionally, we reserve the right to decline account creation for any reason at our discretion. If we decide not to approve your account, we will inform you accordingly.
Anything interesting about the submitted content?
We trust our customers. Therefore, we expect any information submitted by you within the user account area of our website (including any information provided in order to create your user account) or in relation therewith to be accurate, true and complete.
If any of the information changes, you should update it as soon as possible to prevent any misunderstandings or problems down the line.
Any content submitted to or through our website or in relation with the use of Braiins Manager that belongs to you stays yours (or in legal terms: you retain ownership of any intellectual property rights that you hold in a submitted content).
When you submit content to or through our website or in relation with the use of Braiins Manager, you grant us a worldwide, royalty-free, non-exclusive, perpetual license (with a right to sublicense) to use the submitted content for the limited purpose of operating, promoting and improving Braiins Manager and any other related services. What about the data you collect?
By using Braiins Manager, you agree that we collect information about your activities on the platform, the performance of your cryptocurrency mining devices, and other related data. We use this information for several purposes:

This Section outlines the services provided to clients who opt for the Premium Support package for Braiins Manager.
These services are supplementary to the standard support provided under the Customer Support Agreement, which is available on our website (here: https://academy.braiins.com/en/terms-and-policies/) and applies to all customer support services. The terms and processes outlined in the Customer Support Agreement also apply to Premium Support, unless these Terms specify otherwise.
Got it. What should I expect after subscribing to Premium Support? What about some help with migration and setup?
We offer seamless migration assistance to support your transition and setup, as detailed on our website. To make the process smoother, we may provide discounts (up to 100 %) on Premium Support fees during your first month of subscription, helping ease the transition period. Please note that this assistance is provided on a best-effort basis and does not guarantee complete migration or full system setup within the first month.
Understood. What about sitemap creation and scripting?
We will offer, on a good faith effort basis, guidance and assistance in the creation of sitemaps and scripts. However, the final implementation, accuracy, and effectiveness of the configurations remain the client’s responsibility.
What kind of day-to-day support can I expect after that?
Premium Support includes 24/7 access to technical support through our dedicated communication channels with the following response times:
While we are committed to initiating a response within the specified time frames, we do not guarantee resolution times. The actual duration required to resolve issues will depend on their complexity, external factors (such as third-party systems), and your cooperation in providing the necessary information or access.
The categorization of the issue will be conducted in good faith based on our internal guidelines and at our sole discretion following the principles outlined in the Customer Support Agreement.
Is it possible to have a dedicated support person? It would be frustrating to explain our issues repeatedly.
Premium Support clients will be assigned a dedicated technical support specialist for ongoing assistance. Additionally, a business development partner will be available for high-level strategic discussions.
However, please note that neither the support specialist nor the business development partner is responsible for system performance, third-party integrations, or business outcomes. Furthermore, we cannot guarantee that a specific individual will be available at all times.
Premium Support clients will also receive direct access to the Braiins Manager Product Manager for specific product feedback and questions.
However, the Product Manager's involvement does not imply any obligation to implement requested changes, guarantee feature development or resolve issues within specific time frames. Furthermore, we cannot guarantee that a specific individual will be available at all times.
What about training for my team?
We will offer customized training sessions on Braiins Manager for your team on a good faith effort basis. The content, duration, and frequency of these sessions will be mutually agreed upon, and the effectiveness of the training depends on client engagement. We are not responsible for the client's failure to implement or follow training advice.
Can I expect early access to new features?
Premium Support clients may be offered early access to new features and beta releases. Such features and releases are provided "as-is" and may contain bugs or functionality issues. We are not responsible for any disruption, data loss, or system performance issues resulting from the use of beta features.
Will there be regular check-ins?
We will conduct quarterly review calls to provide feedback, answer questions, and assess system performance. These calls are intended for advisory purposes, and while we will make recommendations, the implementation and outcome of these recommendations remain the client's responsibility.
Can you explain how proactive monitoring and health checks will be implemented? We want to ensure that potential issues are identified early.
We will offer proactive monitoring of your interactions with our systems and conduct regular health checks to identify potential issues on a good faith effort basis.
However, this service does not guarantee the prevention of all problems, nor are we liable for system failures that occur despite proactive monitoring.
Anything else I should know?
All services under this Premium Support Section are provided on a good faith effort basis. We do not guarantee that any specific issue will be resolved within a particular timeframe, nor do we guarantee the avoidance of system downtime or errors.
Also, for the assistance, consultations and trainings, provided on a good faith effort basis, we do not guarantee a specific number of man-days.
You are responsible for providing accurate and timely information, access to relevant systems, and cooperation necessary for us to fulfill our support obligations. Delays caused by you may impact response and resolution times, for which we are not responsible.
What if you or I want to change my support package or terminate the service?
We reserve the right to modify the terms of Premium Support at any time by providing notice via our website (effective on a date of subscription period renewal). Premium Support services are subject to availability, and we reserve the right to limit the number of Premium clients or adjust service offerings based on demand.
Also, both you and us can terminate the Premium Support service by providing a written notice (termination is effective as of the end of the current subscription period). Upon termination, you will no longer have access to Premium Support features, and any remaining fees due under the agreement will be payable immediately.

By subscribing to Premium Support, you agree to the terms set forth in this Section of the Terms, and acknowledge that any support provided outside these terms is governed by the standard Customer Support Agreement available on our website.
Please be aware that certain features of Braiins Manager may currently be in beta or testing phases, and this may continue in the future.
What does that mean for me as a user?
These features are provided solely for evaluation and feedback purposes. Because they are in testing, they may contain bugs, errors, or other issues that could disrupt the functionality of your cryptocurrency mining devices or other connected systems. By using these beta or testing features, you acknowledge that there is a significant risk of encountering issues. This includes potential operational failures, data loss, or system malfunctions. You agree that we are not liable for any adverse effects that may occur, including damage to your cryptocurrency mining devices or loss of data, resulting from your use of these beta features.
How can I protect myself?
It is your responsibility to thoroughly assess the risks associated with using these features and to implement appropriate safeguards to protect your systems and data. We recommend that you proceed with caution and back up important data regularly.
As a user of Braiins Manager, you agree to pay the fees associated with its use, as well as for any Premium Support, as outlined in these Terms (collectively “Fees”). You can make payments in either United States Dollars (USD), or in Bitcoin (BTC).
Where can I find more information about the pricing?
More detailed information regarding the Fees is available on our website in the Braiins Manager section. Please note that we reserve the right to modify the pricing structure and terms related to Braiins Manager at our discretion.
Any changes to the pricing will be reflected on our website. It is your responsibility to review the updated price list regularly. We will make reasonable efforts to notify users of significant changes to the pricing structure or promotion terms via email or through announcements on our website or withing Braiins Manager interface.
Modifications to the pricing structure will take effect on the date specified in the announcement. If no date is provided, the changes will take effect immediately upon posting on our website. Continued use of Braiins Manager after such changes will constitute your acceptance of the updated pricing terms.
How does the payment process work?
We may offer both a post-paid model and a pre-paid model. In the post-paid model, Fees are paid after the conclusion of each payment period. In the pre-paid model, we will issue an invoice upfront for the entire payment period. After the period concludes, any difference based on the actual device count will be settled accordingly. If you have paid more than the calculated fee, we will apply the surplus to your next invoice or refund you if no further payments are expected.
The fee amount is primarily determined by the number of cryptocurrency mining devices managed under your user account. The number of cryptocurrency mining devices managed by Braiins Manager will be calculated on a monthly basis as the aggregate number of cryptocurrency mining devices being managed under your user account in the respective calendar month.
When can I expect to receive invoices?
For the post-paid model, we will issue an invoice after each payment period concludes. For the pre-paid model, the invoice will be sent upfront before the beginning of the payment period.
Each invoice will be due fifteen (15) calendar days from the date of issuance, and it will comply with all applicable tax laws (and bank account number or BTC address, depending on the chosen method of payment). You also agree to receive these invoices in electronic format only.
What about taxes?
The Fees exclude value-added tax (VAT), unless stated otherwise. We will charge and collect VAT in accordance with the applicable laws. You are responsible for any additional taxes or duties that may apply to the Fees or the use of Braiins Manager and Premium Support, excluding our income taxes.
Can you clarify the payment terms for USD?
Payments must be made in USD via wire transfer. You are responsible for any bank fees or charges incurred during the transfer, and payment is considered complete only when the full invoiced amount is credited to our designated bank account.
And what about BTC payments?
The BTC Fee will be quoted in Bitcoin (BTC). For tax or accounting purposes, fiat currency equivalents will be calculated using the "Close" rate on CoinMarketCap as of the invoice date.
Bitcoin payments are considered as duly made once they are sent to the specified BTC address and have received at least three (3) network confirmations. You will also be responsible for any Bitcoin network transaction fees, which will be deducted from the amount transferred.
We’re pleased to inform you that Braiins Manager is available free of charge to all users through the end of June 2025. Please note that the Early Adopter Discount Promotion does not apply to Premium Support fees unless explicitly stated otherwise.
That’s great! And what happens after June 2025?
The users managing fewer than 500 cryptocurrency mining devices under their user account (based on the daily average for June 2025), will enjoy “limited free access” for up to 500 cryptocurrency mining devices. For additional devices, a Fee will have to be paid.
What if I have more than 500 cryptocurrency mining devices?
Users with more than 500 cryptocurrency mining devices are eligible for “limited free access” to Braiins Manager as well. In this case, the cap is determined three times the average number of cryptocurrency mining devices managed under your user account before the end of Early Adopter Promotion (based on the daily average for June 2025). For additional devices, standard Fee will have to be paid.
Does this “limited free access” include all the features available in Braiins Manager?
If you have limited free access, it applies to all functions included in Brains Manager at the time of the Braiins Manager release, including any future changes or enhancements that do not significantly alter the nature of these functions. However, we reserve the right to exclude entirely new features from the “limited free access”.
In case of disputes, we reserve a right to determine at our sole discretion whether a feature is considered as new or current.
In all cases, we retain the right to remove or suspend any functions, or even terminate Braiins Manager at our discretion.
What about Premium Support? Is that included?
Premium Support is ordinarily not included in the free offering. However, for users managing more than 1,000 cryptocurrency mining devices, Premium Support is available for purchase at tiered pricing based on your specific needs and selected features.
Additionally, as part of the Early Adopter Promotion, we offer users (to those otherwise eligible for purchase of Premium Support) a complimentary one month of Premium Support for free of charge to assist with the migration process.
If you wish to subscribe to Premium Support, you will need to fill out a request form, available in the Help Center or via the "Get Quote" button.
What measures do you take to prevent misuse of the promotion?
To qualify for this promotion, you must adhere strictly to the associated terms and conditions. Users are prohibited from engaging in fraudulent practices, such as misrepresenting the number of cryptocurrency mining devices operated or creating multiple accounts to exploit the promotion.
We reserve the right to verify the number of cryptocurrency mining devices through audits of device registrations and usage data. Should any discrepancies arise, we may disqualify the user from the promotion.
Any user found manipulating the counts of devices, creating multiple accounts, or violating the terms will face immediate disqualification. This may include termination of access to Braiins Manager, revocation of benefits, and, if necessary, legal action.
Can the terms of the promotion change?
Yes, we reserve the right to modify or terminate the Early Adopter Discount Promotion, including the instances if we determine that it is being misused or if its integrity is at risk. Any modifications will be communicated through our website and will take effect immediately, unless otherwise specified.
You are always up, right?
We always attempt to provide continuous, uninterrupted operation of Braiins Manager, so you can access it and manage your fleet at any time.
However, due to maintenance, repairs, exceptional outages, and other reasons there may be occasions when Braiins Manager will not be available, and therefore we cannot always guarantee a completely uninterrupted (100 %) availability.
If it is unavailable due to a planned temporary maintenance shutdown, we will attempt to inform you in advance. If, due to the nature of unavailability, we could not inform you in advance, we at least attempt to promptly resolve any issues and make it available again.
Please, be aware that it may be necessary to set up your hardware in a way that allows it to reconnect to the Braiins Manager automatically when it becomes available after the shutdown or outage.
What if you decide to shut Braiins Manager down completely?
We work in a field of new technologies, and you never know what will happen a month, year or ten years from now. Therefore, we cannot rule out that we will at some point discontinue Braiins Manager completely.
In that event, we will give you at least thirty (30) days prior notice. After the end of this notice period, our relationship will be terminated, and you will not be able to manage your mining operations with Braiins Manager and to access your user account anymore.
So where are the legal disclaimers?
You have just found them, so let's get it over with. Please, be aware that we do not give you ownership of any intellectual property rights in Braiins Manager or any other products or services associated therewith, unless we say so explicitly. You are solely entitled to access and use the Braiins Manager for management of your mining operations.
We operate Braiins Manager using a reasonable level of skill and care, and we hope that you will enjoy using it; however, be aware that the entire platform is still offered to you on “as is” and “where-available” basis and, therefore, we expressly disclaim any warranties, express or implied, relating thereto.
We shall not under any circumstances be held liable to you for any direct, indirect, special, consequential, punitive or any other damages and costs including, but not limited to, loss of profit, loss of revenue or loss of business opportunity arising out of or in connection with your access and use or inability to access and use Braiins Manager.
Under certain laws, it may not be possible to disclaim our liability and warranties completely. For such cases, you hereby waive to the fullest extent permissible under any such law any claims for damages that you may have against us in relation with your use of Braiins Manager or inability to access it. You specifically waive the damages (loss of earnings) incurred as a result of non-fulfillment of your expectations regarding the functionalities of Braiins Manager, damages to your software or hardware and also damages incurred in relation to any loss of data on the hardware and software components.
If the warranties and liabilities disclaimers above are found void or invalid or otherwise unenforceable, you agree that our total liability for any claims arising out of these Terms or in relation thereto are limited to the amount of Fee paid by you for using the Braiins Manager and Premium Support in the period of six (6) months immediately preceding the event that gave rise to your claim.
The agreement between us and you contemplated by accepting these Terms will commence upon your registration and will remain in effect until it is properly terminated in accordance with the terms outlined herein.
Under what circumstances can my access be terminated?
We may suspend or terminate your access to your user account (as well as the agreement between us and you) if you breach these Terms. Furthermore, we reserve the right to suspend your access without prior notice if we encounter legal changes, serious concerns regarding your compliance with our terms, or if your usage poses potential risks to our services or other users.
If the access is terminated, what are my responsibilities?
Upon termination of the agreement, you are required to immediately cease all use of our services. Additionally, you must return any confidential information you possess to us or, if directed, securely destroy it in a manner that ensures it cannot be recovered. Failure to comply with these obligations may result in further legal action to protect our rights and interests.
Please note, that in case of termination for breach of these Terms, you will not be refunded any portion of the already paid Fees.
How do I get in touch with you? And what if you need to contact me?
You can contact us electronically via tools available on our website or via the email address help@braiins.com. Your message is considered as delivered when we confirm its delivery to you, which we always attempt to do promptly.
We will not bother you too much, but occasionally we may have to contact you. In that event, we will use either the email address listed under your user account or by a notice available to you upon logging into your user account.
We will occasionally email you with commercial announcements; you may at any time, without having to give a reason, opt out of these communications.
It all sounds so great, I will tell about Braiins Manager to everybody I know...
Great, we appreciate it, but please be discrete. Sometimes we share with you information that is not meant to be public. For that reason we must ask you to keep confidential (not to disclose to third parties) the details of our mutual legal relationship (such as pricing and payment details or details about any tailored services), as well as any other information that you have learned from us and that was marked, accompanied, or supported by documents designated as “confidential” or equivalent, or that was identified so by us, or should be reasonably known to you to be confidential.
The duty of confidentiality expires three (3) years from the date of disclosure. The obligation to protect technical information about our current products and services and all information about possible unreleased products or services never expires.
This applies to everything I know about Braiins Manager?
Of course this does not apply to information which was already in your possession before you received it from us; is or becomes publicly available through no fault of yours; is rightfully received by you from a third party who has no duty of confidentiality; or is independently developed by you without a breach of the confidentiality obligations hereunder.
What about my staff?
You may disclose confidential information to your directors, officers, employees, as well as your contractors, advisors, and agents, so long as those individuals have a need to know in their work for you and are bound by obligations of confidentiality at least as restrictive as those imposed on you in these Terms. You are fully liable for any breach of this obligation by the aforementioned third parties.
Sometimes you may be required by a government body or court of law to disclose confidential information. That's fine by us, but we must ask you, to the extent permitted by law, to give us reasonable advance notice so that we may contest the disclosure or seek a protective order.
What laws do apply?
These Terms, as well as any disputes that may arise between you and us in connection with them, will be governed by the laws of the Czech Republic, without regard to its conflict of laws principles. This includes any disputes related to the use of Braiins Manager or its predecessors that occurred prior to the effective date of these Terms.
What if we argue?
We always operate in a customer-friendly manner. We try to solve any issues peacefully and ask you to do the same. Therefore, you agree to notify us of any disputes arising out of or in connection with these Terms and you agree that you will always attempt an out-of-court dispute resolution before you bring the dispute before the courts.
However, sometimes out-of-court dispute resolution is just not possible. In that event, any dispute relating in any way to these Terms shall be decided with final effect before the courts of the Czech Republic.
Should you violate or threaten to violate our intellectual property rights in any manner, we may seek an injunction or other appropriate relief in any court of our choice. You consent to exclusive jurisdiction and venue in such courts.

If any provision of this contract is held by any court or other competent authority to be invalid or unenforceable in whole or in part, this contract shall continue to be valid as to its other provisions and the remainder of the affected provision, unless it can be concluded from the circumstances that, in the absence of the provision found to be null and void, the Parties would not have concluded this contract. The Parties shall use all reasonable efforts to replace all provisions found to be null and void by provisions that are valid under the applicable law and come closest to their original intention.

These Terms set out the entire agreement between you and us. Neither party has entered into this contract in reliance upon any representation, warranty or undertaking of the other party that is not expressly set out or referred to in this contract.

You may not assign or transfer any of your rights or obligations assumed under these Terms a or in any other way related hereto without our prior written consent.

You agree to any future change of the Braiins Manager operator (assignment of the contract). In case of such change, we will always notify you.
…no waiver
If you do not comply with these Terms, and we do not take action right away, this doesn’t mean that we are waiving any rights that we may have (such as taking action in the future).
…survival
All the provisions of these Terms that by their nature extend beyond the termination of the mutual legal relationship, including but not limited to dispute resolution and applicable law clauses, shall survive the termination of our mutual legal relationship.
…languages
These Terms and all the related documents may be translated into multiple language versions. In case of any discrepancies between the individual language versions, the English language version shall always control.
Which time zone is used?

We always attempt to make legal documents as brief and user-friendly as possible, but we cannot completely make do without them. So even though we regret it, if you do not agree with any part of these Terms or if you have any reservations, you may not mine with Braiins Manager, and we must ask you to leave our platform immediately (but please, delete the user account first). I found out there is a conflict between this document and the terms I found elsewhere. If there is such a conflict, please let us know immediately, so that we can attend to it and improve our documentation. Meanwhile, these Terms will control for that conflict.

Just one last thing; we may change or amend these Terms or any additional terms that apply to Braiins Manager from time to time, and if we do so, we will have to ask you to read through them and agree to them again. We realize it's inconvenient for you, so we promise not to do it too often.
